List of Contract Terms:
“Cedupoint” refers to ČVUT FEL, Cedupoint.
“Customer” refers to any organization placing orders with Cedupoint.
“Participant” refers to any individual person attending a training course.
“Seat” refers to the space required for one participant in a course.
“Open” refers to a seat or course which CAN admit additional participants.
“Closed” refers to a course which CANNOT admit any additional participants.
“Confirmation” refers to Cedupoint sending an order/cancellation confirmation notice to the customer.
1. ORDERING
Reservations
Reservations are used to verify the availability of seats for courses. Training can be reserved either verbally or in writing. Seats can be reserved for a course usually up to a maximum of 30 days, but this can be extended by agreement. This reservation process provides the customer with sufficient time to plan the training. During that time Cedupoint guarantees fulfillment of the eventual order. In the event of schedule conflicts, reservations are taken on a first-come, first-served basis. All reservations must be confirmed by Cedupoint to become effective.
Orders
Orders are submitted by the customer to Cedupoint to officially begin the course enrollment process. The order guarantees a number of seats in the specified course for the customer. The order should be submitted in written or electronic form (letter, e-mail, fax). The order becomes confirmed only after Cedupoint sends an order confirmation to the customer.
Open courses (courses from the current list of open training courses)
The order should be submitted as soon in advance as possible. Two (2) months’ or more advance notice is ideal. The minimum advance notice required is one (1) week.
Closed courses (courses for individual companies)
The order should be submitted as soon in advance as possible. The minimum advance notice required is six (6) weeks.
2. CONDITIONS OF COURSE ACCEPTANCE AND CANCELLATION
Confirmed orders for open courses can be cancelled by the customer in written or electronic form (e-mail, letter, fax) 60 days or more prior to course commencement. A cancellation fee equal to 30% of the course invoice cost will be billed to the customer. If a firm order is cancelled 30-59 days or more prior to course commencement, the cancellation fee rises to 50% of course invoice cost. If a firm order is cancelled 15-29 days prior to course commencement, the cancellation fee rises to 60% of course invoice cost. With less than 15 days’ notice the cancellation fee rises to 80% of course invoice cost. Customer cancellation requests are not valid until confirmed by Cedupoint.
3. TRAINING DATE SUBJECT TO CHANGE
Cedupoint reserves the right to cancel any scheduled training for serious reasons (e.g. illness of the lecturer). The course order will be rescheduled to the earliest possible alternate date. If such date is not convenient for the customer, the order will be cancelled without any cancellation fee being charged to the customer.
If the number of enrolled participants is low, Cedupoint may reschedule the course or, in exceptional cases, cancel the course 60 days or more prior to course commencement. In such case the customer can cancel its order without any cancellation fee being charged, or, if the alternate date is accepted, the customer will receive a 10% discount.
4. TRANSFERABILITY
Both the orders and the bookings refer to the number of participant seats, not to particular persons. Therefore, it is possible to change the names of participants up to the date of course commencement. However, participants cannot be changed during the course. If a customer wishes to change the course participants, it must notify Cedupoint about the change of names so that attendance certificates can be properly issued.
5. CERTIFICATION OF ATTENDANCE
Cedupoint After completing a course Cedupoint issues certificates to all participants to certify participation in the training. To receive a certificate a participant must have at least 95% active attendance. Participants with a very poor understanding of the training material covered or poor prerequisite knowledge may not receive a certificate.
6. TRAINING TIME
Unless agreed otherwise, training starts at 9 a.m. and lasts till 4:30 p.m. The length and number of breaks will be set by the lecturer with the students on site.
7. ORGANIZATIONAL AND TECHNICAL SUPPORT
Cedupoint provides organizational and technical support, i.e. training facilities, necessary technical equipment, study materials, refreshments, and lunch, for courses held on its premises. All the above is included in the course price.
For courses held on customer’s premises the organizational and technical support, i.e. training facilities, necessary technical equipment, refreshments, and lunch, shall be provided and paid by the customer. Cedupoint will provide study materials.
8. NUMBER OF COURSE PARTICIPANTS
The number of participants in open courses depends on the number of enrolled students; however, Cedupoint guarantees that there will be no more than 12 students in a course (unless otherwise specified).
In closed courses the number of participants depends on the customer’s decision; however, the total number of students must not exceed 12. Price may vary according to the number of participants in closed courses, depending on agreed conditions.
9. PARTICIPANT TRANSPORT AND ACCOMMODATION
If requested by the customer, Cedupoint can help organize transport and accommodation for course participants. All transport and accommodation shall be paid by the customer.
10. PAYMENT CONDITIONS
Price
Current prices of open training courses are shown in the training catalog.
Prices for open and closed training courses held only on Cedupoint’s premises cover the tuition fee, as well as the use of facilities, technical equipment of the lecture room, study materials, refreshments, and lunch. Prices for closed training courses on the customer’s premises cover the tuition fee and study materials. The use of facilities and technical equipment of the lecture room, refreshments, lunch, instructor facilitation costs, and any other costs, shall be paid by the customer. Instructor facilitation costs (i.e. accommodation, meals, and transport) are only charged for closed courses held more than 100km outside of Prague.

Prices for tailor-made training courses are negotiated with the customer.
Maturity
Upon completion of the course Cedupoint will issue an invoice. The customer agrees to pay this invoice within 21 calendar days.
Method of payment
All invoice payments shall be made by bank transfer.
Advance payment
Cedupoint requires no advance payment for courses.
11. COPYRIGHT PROTECTION
Training materials handling is governed by Act No. 121/2000 Coll. regarding copyright, on rights related to the copyright, and regarding the change of some acts (Copyright Act).
It is not allowed to take any audiovisual recordings during a training course.
